Terms and Conditions of Sale

The following terms and conditions are the terms on which Uni-Com (Global) Ltd sells products. This supersedes all other terms and conditions relating to those products.

1. General
1.1 There shall be no binding contract between Uni-Com (Global) Ltd and the Buyer until the Buyer’s order has been accepted by Uni-Com (Global) Ltd.
1.2 All goods will be supplied against a cash payment, a pro-forma invoice or credit account, which Uni-Com (Global) Ltd reserves the right to set a discretionary credit limit subject to the acceptance of appropriate references.

2. Price and payment
2.1 Prices and quotations are valid for 30 days from date of issue, unless previously withdrawn, and do not amount to an offer on the part of Uni-Com (Global) Ltd to enter into a binding contract.
2.2 All prices are quoted net and may be subject to change without notice. VAT will be charged at the current rate.
2.3 Payment shall be made no later than 30 days from date of invoice, for account customers. For non-account customers payment is with order against a pro forma invoice. We reserve the right to charge interest of 2.5% per annum above the applicable Bank of England base rate on accounts that are not settled within our terms of trading.

3. Goods
3.1 The description and quantity of the Goods to be sold shall be as set out in the quotation provided by Uni-Com (Global) Ltd to the Buyer.

4. Delivery
4.1 Any delivery times quoted are estimates only and Uni-Com (Global) Ltd shall not be liable for failure to deliver within the time quoted.
4.2 Carriage is chargeable on orders of less than £100.00 (excluding V.A.T.). Over this amount, carriage is paid based on our standard delivery terms. Delivery by special methods is chargeable to the Buyer.
4.3 Delivery of goods to the stipulated place of delivery or to a carrier nominated by the Buyer, whichever is sooner, shall constitute delivery to the Buyer. All risks in the goods shall pass to the Buyer on such delivery.
4.4 Any discrepancies / damage apparent at the time of delivery must be noted on the carriers receipt and also notified to Uni-Com (Global) Ltd within 24 hours of said delivery.

5. Ownership of the goods
5.1 The risk in the goods shall pass from the seller to the buyer upon delivery of such goods to the buyer. However, notwithstanding delivery and the passing of risk in the goods, title and property in the goods, including full legal and beneficial ownership, shall not pass to the buyer until the seller has received in cash or cleared funds payment in full for all the goods delivered to the buyer under this and all other contracts between the seller and the buyer for which payment of the full price of the goods thereunder has not been paid. Payment of the full price of the goods shall include the amount of any interest or other sum payable under the terms of this and all other contracts between the seller and the buyer under which the goods were delivered.

6. Cancellation
6.1 The Buyer can only cancel the order if Uni-Com (Global) Ltd is notified within 24 hours of placing said order. After this time the Buyer cannot cancel the order unless Uni-Com (Global) Ltd agrees in writing. If the order is cancelled without Uni-Com (Global) Ltd’s agreement, the Buyer must pay any reasonable losses and costs it suffers because of the cancellation.

7. Third party rights
7.1 Notwithstanding any other provision of this agreement, nothing herein shall confer nor is it intended to confer a benefit on any third party for the purposes of the Contract (Rights of Third Parties) Act 1999 or for any other purpose.

8. Governing law and jurisdiction
8.1 The Contract shall be governed by the laws of England and the parties agree to submit to the exclusive jurisdiction of the English courts.
